These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at shopap.io (together or individually “Service”) operated by LogiQbits Limited.By clicking on the "I accept the terms & condition" and/or by downloading and/or installing and/or activating the SHOAP software application (the "application") and/or using the application and/or the services, you are agreeing to the following terms & conditions together with the terms & conditions of SHOPAP.
You acknowledge that you have read and understood all the Agreements, and agree to be bound by them. If you do not agree to the terms, refrain from downloading or installing or activating or using the application or the services. These Terms apply to all visitors, users, and others who wish to access or use Service.

SHOPAP (“us”, “we”, or “our”) can modify this Terms & Condition, and if we make material changes to it, we will provide notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective.You acknowledge that your continued use of our Services after we publish or send a notice about our changes to this Terms & Condition means that the collection, use and sharing of your personal data is subject to the updated Terms & Condition, as of its effective date.

Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 18.
“Minimum Age” means 18 years old. However, if law requires that you must be older in order for SHOPAP to lawfully provide the Services to you without parental consent (including using of your personal data) then the Minimum Age is such older age.

Security
User must take all required precautions and measures to keep safe and prevent fraudulent use of your mobile device and security information.
We’ll take all required and reasonable measures to ensure the security of the SHOPAP. However, due to the virtual nature of cyber-systems and of its components, which are exposed to security risks by nature, including disclosure or modification of data installed on the system by unauthorized persons, a security risk exists. You acknowledge the existence of such security risk involved in the use of the SHOPAP system. Your registration with in SHOPAP shall confirm that you are using the services accepting the associated risks.
We’ll take all required and reasonable measures to ensure the security of the SHOPAP. Suspension and Disconnection
We reserve the right to suspend or terminate the provision of the Services, at its sole discretion, if this system is used for unauthorized, fraudulent and/or illegal purposes and if the user himself related with any illegal activities /criminal /offensive activities subversive for the country. Further if it is suspected that the App has been used fraudulently or in an unauthorized way. Under no circumstance, we’ll be responsible to notify the SHOPAP subscriber prior to such account suspension or termination.
Loss or Theft
It is your responsibility to keep your PIN code /password protected. You may change your PIN code or password at any time through the SHOPAP Mobile App or by using its Web App as applicable.
Other Rights And Limitations
You shall not and shall not permit or aid others to, translate, reverse engineer, decompile, disassemble, update, modify, reproduce, duplicate, copy, distribute or otherwise disseminate all or any part of the Application, or extract or attempt to extract source code from the object code of the Application. The Application is licensed as a single product; you may not separate its component parts for any purpose. Any unauthorize or fraudulent purpose use of the Application is illegitimate and unacceptable. Upon identification of such attempt or use of your identity to attempt such act may result in legal actions.
Ownership Of Rights
The Services and the Application and any software used in connection therewith contain proprietary and confidential information. You acknowledge and agree that the Services and the Application are the property of SHOPAP. You further acknowledge and agree that all right, title and interest in and to the Services, the Application and any software therein, including associated intellectual property rights, are and shall remain with SHOPAP. and its licensors. This Agreement does not convey to you any interest in or to the Services, the Application and any software therein, except for a limited right of use as set forth herein, terminable in accordance with the terms of this Agreement. You will not remove, alter or deface any trademarks or proprietary notices of SHOPAP brand or of its licensors in the Application. SHOPAP has right to impose fee for this service or part of its service as and when it decided without prior intimation/notification. And if the fee is paid or refused to payout, SHOPAP can terminate the software service or part of services under own discretion.
Acknowledgement
You acknowledge that by using the Services, some of your personal information will be passed on to the shop for which you are paying bill or to the person for whom you are purchasing goods /products /items and will be available to any third party involved in the operation of the Services.
You also acknowledge that SHOPAP may verify your identity information through publicly available and/or restricted government or election commission databases in order to comply with regulatory requirements. You accept that SHOAP shall have the right to monitor your account usage and may disclose personal information to local law enforcement or investigative agencies or any competent regulatory or governmental agencies to assist in the prevention, detection or prosecution of money laundering activities, fraud or any other criminal activities.
You also acknowledge that SHOPAP may verify your identity information through publicly available and/or restricted government or election commission databases in order to comply with regulatory requirements. You accept that SHOAP shall have the right to monitor your account usage and may disclose personal information to local law enforcement or investigative agencies or any competent regulatory or governmental agencies to assist in the prevention, detection or prosecution of money laundering activities, fraud or any other criminal activities.
Warranty And Limitation Of Liability
SHOPAP provides the application and services, as is without any warranty or condition, express, implied or statutory. SHOPAP does not warrant that the application and services shall be error-free, that they shall operate uninterrupted or that they shall meet all your requirements. SHOPAP disclaims any and all warranties, whether express or implied, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, performance, accuracy, reliability and non-infringement.
Notwithstanding anything herein to the contrary, SHOPAP’s sole and cumulative liability to you or any third party for any loss, cost or damage resulting from any claims, demands or actions arising out of or relating to these Terms and/or your use of the Application and/or the Services shall not take any responsibility for the product-delivery from Seller to the Customer (rather delivery is sole responsibility of the Seller or the Shop owner) whether or in case of any event of loss, cost or damage occur to Customer or Seller. In no event shall SHOPAP be liable or responsible for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to, misconduct of Seller (Shop owner) or Customer; technical problems of Apps; Transactions made to unintended / wrong recipients or in incorrect amounts due to the input of incorrect information by the payor (usually the customer); transactions made from your SHOPAP-account /profile by an unauthorized third party who passes all identity and verification checks; any fraud, deception or misrepresentations by anybody; any damages resulting from arecipient’s decision not to accept or record a Transaction made by you through the SHOPAP System; failure of any other telecommunications or data transmission system other than the SHOPAP System; result of any acts of government or authority, or force majeure; damages for loss of profits, revenue, goodwill, use, data, electronically transmitted requests or other economic advantage (even if SHOPAP has been advised of the possibility of such damages), however caused and regardless of the theory of liability, whether in contract (including fundamental breach), tort (including negligence) or otherwise, arising out of or related to the use of or the inability to use the Application and/or the Services for any reason.

Intellectual Property Rights
All rights, title to and interest in the Service (excluding User Content) are and will remain the exclusive property of SHOPAP. The Service and its content are protected by copyright and other intellectual property rights.
Except for the limited, non-exclusive, non-transferrable and revocable license granted to you for the sole purpose of your use of the Service in compliance with the Terms, you are not granted any ownership of or license to any intellectual property rights in our Service or in the content owned by us our partners that you access through the Service.

Indemnity
You agree to indemnify, defend and hold harmless SHOPAP (including, but not limited to, affiliated companies and their contractors, officers, directors and employees) and its partners from all claims, liabilities and expenses (including reasonable attorney's fees) that arise from your misuse of the Service in breach of the Terms or applicable laws.
Prohibited Use
- Adult Products and Pornographic/ Obscene Materials (including child pornography) in any form (Print, audio/video, MMS, images, photographs, etc.)
- Any kind of Narcotics items e.g., Alcohol, Wine, Addictive / Narcotic Drugs and Psychotropic Substances
- Animals, whether live or dead including its parts and products
- Any article /material /service which cannot be exhibited, advertised, made available, offered for sale at e-commerce platforms/ technology due to restrictions /conditions for sale of those articles /material /service unless all those conditions are met pursuant to the Applicable Laws of Bangladesh.
- Any article /material /service which are prohibited /restricted by any law at any given time.
- Any item /material which may assist /support in performing of any illegal or unlawful activity.
- Counterfeit Goods and goods /materials infringing any intellectual property rights.
- Any type of currency trade or currency trade related services.
- Endangered /wild species of animals and plants – dead or alive.
- Firearms, parts thereof and ammunitions, weapons, knives, sharp-edged and other deadly weapons, and parts of, and machinery for manufacturing, arms, but does not include articles designed solely for domestic or agricultural use /purpose or an ordinary walking stick
- Weapons or anything like weapons even if it is incapable of being used otherwise than as toys or of being converted into serviceable weapons.
- Financial Services, anything related to money laundering.
- Grey /Black market product, anything (product / service) related /linked to smuggling.
- Hazardous materials including but not limited to acid, fireworks, explosives, flammable adhesives, poison, hazardous or explosive chemicals whether liquid, powdered or gaseous form, oil-based paint and thinners (flammable liquids), industrial solvents, insecticides & pesticides, machinery (containing fuel), Fuel for camp stoves /lanterns /heating elements, infectious substances etc.
- Human remains or skeleton.
- Invoices (including blank, pre-filled, or value-added invoices or receipts), is strictly prohibited on the Site).
- CNG (compressed natural gas) /LNG (liquified natural gas) /LPG (liquified petroleum gas) or any Cryogenic or any inflammable / explosive gases, harmful gas materials.
- Maps and literature where any area of Bangladesh, whether internal /external that have been shown incorrectly.
- Any items/ equipment /devices /tools / apparatus /ancillaries related to or specific to government systems /law & order enforcement bodies or agencies, defense /security /military /intelligence department.
- Prescription Medicines /Drugs
- Racially /ethnically /religiously offensive materials
- Radioactive Materials
- Reptile or wild animal skins, Venom or venomous items.
- Sex Determination Kit, Sex toys /devices.
- Stocks and Securities
- Any product /item /goods that is stolen /robbed /plundered /hijacked /snatched /hacked.
- Unauthorized Copies of Intellectual Property
- Veterinary Drugs for animals
- Wildlife and Animal Products
- Any other sanctioned or prohibited items as per Bangladesh law.
- Passports, NID /Smartcard, Any type of certificates and any documents that is issued by government.
- Any other items deemed unfit for listing by SHOPAP.
